Terms of Service

These Terms of Service ("Terms") govern your access to and use of RoleShepherd ("RoleShepherd" or the "Service"), operated by TexoByte, LLC ("we," "us," or "our"). By creating an account, checking the acceptance box at registration, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy. 1. The Service

RoleShepherd is an always-on, AI-assisted career intelligence platform. It helps you build an evidence-based career profile, monitor companies you choose, qualify job postings, track applications, and stay market-aware between job searches. Features vary by subscription plan.

The Service provides software tools and automated analysis. It does not guarantee outcomes, verify your submissions, or act on your behalf. You remain fully responsible for your job search, applications, and career decisions at all times.

2. Accounts

• You must provide accurate account information and keep your credentials secure.
• You are responsible for all activity under your account.
• You must be at least 16 years old to use the Service.
• One person per account. Do not share accounts or create accounts on behalf of others without authorization.

3. Subscriptions and billing

Paid plans are billed through our payment processor. Current plans include Have a Job ($5/month or annual), Job Search Lite ($19.99/month or quarterly sprint), and Job Search Heavy ($39.99/month or quarterly sprint). New accounts receive a 7-day free trial with Job Search Lite limits — no credit card required. You may optionally subscribe to a paid plan at signup or later; Lite and Heavy include a 7-day trial with card on file before billing begins. One-time top-up packs may be available on active subscriptions.

Plan features and monthly quotas (jobs processed, research runs, resume drafts, interviews, dream company limits, crawl cadence) are described on our pricing page and may be updated with reasonable notice. Subscriptions renew automatically until canceled.

You may cancel through the billing portal in your account settings when available, or by contacting [email protected]. Cancellation stops future charges; access continues through the end of the current billing period unless otherwise stated.

Refunds are handled at our discretion except where required by law.

4. Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of these Terms.
• Attempt to access other users' data or probe, scan, or test the vulnerability of our systems without authorization.
• Scrape, reverse engineer, or overload the Service except as permitted by law.
• Submit false, misleading, or fraudulent profile or application information.
• Resell, sublicense, or commercially exploit the Service without our written consent.

We may suspend or terminate accounts that violate these Terms.

5. Your content

You retain ownership of content you submit (resume, profile answers, notes, uploaded files, etc.). You grant us a worldwide, non-exclusive license to use, store, process, reproduce, and display your content solely to operate, maintain, and improve the Service, including sending portions to third-party processors as described in our Privacy Policy.

You represent and warrant that you have the right to submit your content, that it is accurate to the best of your knowledge, and that it does not infringe or misappropriate any third party's rights. You are solely responsible for the accuracy, legality, and appropriateness of all content you submit, export, copy, or transmit from the Service.

6. AI-assisted features

RoleShepherd is an AI-assisted software tool. It uses automated systems — including large language models and heuristics — to score jobs, summarize research, draft resumes and cover letters, conduct profile and gap interviews, predict interview topics, estimate market worth and compensation, and produce other career-related output.

All such output is generated automatically. It may be incomplete, outdated, biased, inconsistent, or factually wrong. AI systems can "hallucinate" — invent plausible-sounding details that are not true. Output is informational only. It is not legal, financial, tax, employment, recruiting, or any other professional advice. We do not review, endorse, or guarantee AI output before you see it.

• Match scores, Shepherd Verdicts, readiness signals, salary bands, comp estimates, and research summaries are estimates — not facts or promises.
• Resume drafts, cover letter suggestions, and interview predictions are starting points. You must review, edit, and verify every word before use.
• RoleShepherd does not apply to jobs, contact employers, or negotiate on your behalf. You submit applications and communications yourself.
• Features are designed to reflect evidence you provide and boundaries you set (such as do-not-claim rules). They cannot prevent you from misrepresenting your experience if you choose to.
• We do not guarantee interviews, callbacks, offers, salary outcomes, promotions, or any hiring or career result.

7. Your sole responsibility

By using the Service, you agree that you — and only you — are responsible for your career decisions, job search, and all materials you send to employers or third parties. This includes every resume, cover letter, application answer, email, profile, and communication whether drafted by you, suggested by the Service, or exported from it.

You agree that you will:

• Independently verify all facts, claims, dates, titles, skills, compensation figures, company information, and job requirements before relying on them or submitting them anywhere.
• Review and approve all AI-generated or AI-assisted content before copying, downloading, or transmitting it to any person or organization.
• Ensure that everything you submit to an employer or third party is truthful, lawful, and appropriate for that context.
• Accept full responsibility for the consequences of your applications, negotiations, interviews, and career choices — whether or not you used the Service.

The Service is a tool to help you organize information and explore options. It does not replace your judgment, diligence, or accountability. You assume all risk associated with your use of the Service and any reliance on its output.

8. No employment or agency relationship

TexoByte, LLC is a software provider, not an employer, recruiter, staffing agency, career counselor, or agent acting on your behalf. Nothing in the Service or these Terms creates an employment, fiduciary, partnership, or agency relationship between you and us. We do not represent you to employers and do not owe you duties beyond providing the Service as described here.

9. Job listings, research, and third-party sources

Job postings may come from company career pages we crawl, URLs or text you paste, public APIs, or web search results. We do not control employer websites, job boards, or third-party data sources.

• Postings may be stale, duplicated, withdrawn, misclassified, or contain errors. A role shown as open may already be filled.
• Salary, culture, and interview research is assembled from public web sources and AI synthesis. It may be wrong or incomplete.
• Links to external sites are provided for convenience. Your use of third-party sites is subject to their terms and policies.

We are not responsible for the accuracy, availability, or conduct of any third party, employer, or job listing.

10. Intellectual property

The Service, including software, design, and branding, is owned by TexoByte, LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.

11. Third-party services

The Service relies on third-party providers for payment processing, AI infrastructure, email delivery, web search, hosting, and other functions. Your interactions with billing or other embedded flows may be subject to those providers' separate terms and policies. We may change providers without notice. We are not responsible for outages, policy changes, data handling, or actions of third-party providers.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR COMPLETELY ACCURATE; THAT AI OUTPUT, SCORES, RESEARCH, OR DRAFTS WILL BE CORRECT OR SUITABLE FOR ANY PURPOSE; THAT JOB LISTINGS WILL BE CURRENT OR AVAILABLE; OR THAT YOU WILL ACHIEVE ANY PARTICULAR CAREER, EMPLOYMENT, OR COMPENSATION OUTCOME.

ANY MATERIAL OR INFORMATION OBTAINED THROUGH THE SERVICE IS AT YOUR OWN DISCRETION AND RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR REPUTATION, EMPLOYMENT PROSPECTS, OR RELATIONSHIPS WITH EMPLOYERS RESULTING FROM YOUR USE OF OR RELIANCE ON THE SERVICE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TexoByte, LLC AND ITS OWNERS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS (COLLECTIVELY, THE "COMPANY PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, EMPLOYMENT, INCOME, OR CAREER PROSPECTS, ARISING FROM OR RELATED TO THE SERVICE, AI OUTPUT, JOB LISTINGS, RESEARCH, RESUME OR APPLICATION CONTENT, OR THESE TERMS — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES WILL NOT BE LIABLE FOR ANY CLAIM ARISING FROM: (A) YOUR CONTENT OR ANYTHING YOU SUBMIT TO AN EMPLOYER OR THIRD PARTY; (B) AI-GENERATED OR AI-ASSISTED OUTPUT, INCLUDING SCORES, REASONING, DRAFTS, RESEARCH, AND RECOMMENDATIONS; (C) JOB POSTINGS, COMPANY DATA, SALARY ESTIMATES, OR THIRD-PARTY SOURCES; (D) MISSED, DELAYED, OR FAILED APPLICATIONS, INTERVIEWS, OFFERS, OR HIRING OUTCOMES; (E) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). For example, if you paid $19.99 per month for six months, our maximum liability for a covered claim would be $119.94, not unlimited damages.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, THE COMPANY PARTIES' LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your content or anything you submit, publish, or transmit to an employer or third party; (b) your use or misuse of the Service or reliance on AI output, scores, research, or drafts; (c) your applications, interviews, negotiations, or career decisions; (d) your violation of these Terms or applicable law; or (e) your infringement or misappropriation of any third party's rights.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

15. Release

To the fullest extent permitted by applicable law, you release the Company Parties from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising from or connected with: the Service; AI output; job listings and research; your applications or employment outcomes; or your use of content generated or suggested by the Service. If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

16. Termination

You may stop using the Service at any time. You may permanently delete your account and data from Settings → Account. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service with reasonable notice where practicable.

17. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles.

Informal resolution. Before filing a claim, you agree to contact us at [email protected] and give us at least thirty (30) days to try to resolve the dispute informally.

Courts and small claims. Except for qualifying small-claims matters (which either party may bring in the appropriate court within that court's limits), you agree that any dispute arising from or relating to these Terms or the Service will be brought only in the state or federal courts located in Tennessee, and you consent to personal jurisdiction there.

No class actions. To the extent permitted by law, you agree that any dispute will be brought only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If a court finds this class waiver unenforceable for a particular claim, that claim may proceed in court; the rest of this section still applies.

18. General

• Entire agreement: These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
• No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

19. Changes

We may modify these Terms from time to time. We will post updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.
